Daniel Sae-Chin Kim is a partner in the firm's corporate practice and is a resident of the Hong Kong office. He focuses on mergers and acquisitions, private equity buyouts and investments, international joint ventures, and private and public securities offerings. Mr. Kim has worked with many international financial institutions in their investments, acquisitions and public and private offerings in Asia. Financial institutions that he has represented include Morgan Stanley, Goldman Sachs, JPMorgan, Merrill Lynch, The Carlyle Group, Marathon Asset Management, GE Capital, RBS/ABN AMRO and UBS.
In addition, Mr. Kim has represented many Asian corporate clients in their transactions, including Samsung Group companies, SK Group companies, CJ Group companies, Woori Financial Group, Dong-A Pharmaceuticals, United Luminous Group and Traxon Group. Highlights of Mr. Kim's recent transactions include: Capital Markets- Advised Goldman Sachs as sole bookrunner in the US$200 million convertible bond offering by STX Pan Ocean, a global leader in dry bulk shipping listed on the Korea Stock Exchange and the Singapore Stock Exchange.
- Advised Samsung Securities in the US$200 million IPO and listing of Dongkuk S&C, a global leader in manufacturing wind towers, on the KRX KOSDAQ market.
- Advised Goldman Sachs and Samsung Securities in the US$628 million initial public offering by STX Pan Ocean, a global leader in dry bulk shipping, and the second-ever Korean IPO with a 144A/Reg S international tranche following the regulatory change in Korea.
- Advised an international underwriter in the proposed international tranche of the initial public offering and listing on the Korea Stock Exchange by LG Powercomm.
- Advised Woongjin Coway in its US$150 million offering of GDRs and common shares with JPMorgan acting as the underwriter.
- Advised Pixelplus in its US$36 million IPO of American Depository Shares (ADR) on Nasdaq.
- Advised JPMorgan in the US$97 million ADR offering and Nasdaq listing for Webzen Inc.
- Advised JPMorgan in the US$101 million GDR offering and Luxembourg Stock Exchange listing for INI Steel.
- Advised JPMorgan in the GDR offering and Luxembourg Stock Exchange listing for Kumgang Korea Chemical.
- Advised Traxon Technologies, one of the world's leading LED light solutions and systems providers based in Hong Kong, in its global restructuring and sale of majority interest to OSRAM, a subsidiary of Siemens.
- Advised an Asian financial institution in its attempted bid for the Asian operations of Lehman Brothers.
- Advised Morgan Stanley Private Equity in its proposed acquisition of Daewoo Electronics and its global business enterprise.
- Advised Morgan Stanley Private Equity in its 42% equity investment in Hyundai Rotem, one of world's leading makers of high-speed trains and other rail transports.
- Advised Morgan Stanley Private Equity in its acquisition of KEB Commerz Investment Trust Management Company (KEBIT) from Korea Exchange Bank and Commerzbank Aktiengesellschaft and in KEBIT's subsequent merger with Landmark ITMC, another portfolio company of Morgan Stanley Private Equity.
- Advised Morgan Stanley Private Equity in its acquisition of Jinbang Steel, a leading manufacturer of steel pipes and other steel products, from Ssangyong Corporation.
- Advised Marathon Asset Management in its management-led buyout of The Executive Centre Limited, a leading serviced-office provider throughout Asia and Australia.
- Advised a Korean conglomerate in its attempted bid for BALtrans, a global logistics company listed on the Hong Kong Stock Exchange.
- Advised Wal-Mart in its US$882 million sale of its Korean retail operations to Shinsegae, Korea's largest retailer.
- Advised COTCO Luminant Device, a leading LED light manufacturer based in Hong Kong, in its US$200 million sale to Cree Inc. (NASDAQ: CREE) in a cash and stock deal.
- Advised FCI, Inc., a leading provider of integrated DMB-phone chips, in its US$90 million sale to Silicon Motion Technology Corp. (NASDAQ: SIMO) in a rare crossborder cash and stock deal in Korea.
- Advised Integrant Technologies Inc., a leading supplier of CMOS radio tuners for DMB phones, in its US$160 million sale to Analog Devices Inc. (NYSE: ADI).
- Advised SK Telecom in its US$440 million telecommunications joint venture with Earthlink Inc., a leading U.S. internet service provider.
- Advised Morgan Stanley Real Estate Fund in a multi-billion real estate joint venture with New Songdo City Development Corporation LLC, an affiliate of Gale International, for a major development project in a free economic trade zone near Incheon International Airport in Korea.
Mr. Kim received his undergraduate education at New York University, graduating with a B.S. in political science in 1992. After college, he was appointed by Mayor David N. Dinkins as the city's first mediator and liaison to the New York Korean community. Mr. Kim attended law school at the University of Chicago, graduating with a J.D. in 1997. Prior to joining Paul Hastings, he practiced corporate law in New York and California. Mr. Kim is a member of both the California and New York State Bars. He is fluent in Korean.
