Paul Hastings Represents St. Joseph Heritage Healthcare in the Acquisition of MIMG

Los Angeles, CA Paul Hastings LLP, a leading global law firm, announced today that the firm represented St. Joseph Heritage Healthcare (Heritage) in the purchase of substantially all of the assets of Mission Internal Medical Group, Inc., a California professional medical corporation (MIMG), which owns and operates a comprehensive, multi-specialty medical practice and conducts such practice in several office locations in southern Orange County, California.

As part of the acquisition, St. Joseph Heritage Healthcare purchased of all of the membership units in MIMG Medical Management, LLC, a California limited liability company (MMM) which owns and operates a medical group management services business.

The goal of the transaction was to further the parties shared vision of enhancing and expanding the provision of healthcare in Orange County and beyond for those patients served by the parties. The purchase, which took effect on November 1, 2012 entered Heritage and MIMG into a long-term professional services agreement through which physicians will provide primary and multi-specialty professional medical services to Heritage patients, and administrative, education and research services on behalf of Heritage, and Heritage will provide various administrative functions for MIMG.
