Paul Hastings Advises U.S. PE Portfolio Companies on Acquisitions in UK, Germany and Canada

London, UK/ Chicago, IL -- Paul Hastings LLP, a leading global law firm, has recently advised the portfolio companies of U.S. private equity firms Beecken Petty O'Keefe & Company and Pfingsten Partners on three separate significant cross border acquisitions.

The firm represented Paragon Medical, a portfolio company of Beecken Petty O'Keefe & Company, in its acquisition of the medical device business segment of Michael Bubolz GmbH. Headquartered in Stuhr, Germany, and with a facility in Siechnice, Poland, Michael Bubolz manufactures close tolerance surgical instrumentation, a wide variety of orthopaedic implantable components and also provides complete sterile pack products. The transaction signed on January 15, 2015. The Paul Hastings team advising Paragon was led by Dr. Regina Engelstädter, a partner in Frankfurt, with the assistance from Dr. Finn Lubberich, and partner Brian Richards in Chicago.

The firm also represented Arrowhead, a global distributor of rotating electrical parts and a portfolio company of Pfingsten Fund IV, in its acquisition of Hi-Level Limited, a UK wholesaler of motorcycle parts and accessories. The Paul Hastings team was led by of counsel Kimberly Smith in Chicago and partner Garrett Hayes in London, with assistance from partner Arun Birla and associate George Weston in London. The transaction closed on February 3, 2015.

In the third transaction, the firm represented mobile fluid power components manufacturer and distributor Bailey International, also a portfolio company of Pfingsten Partners, in its acquisition of Sure Grip Controls in Saanichton, British Columbia. Sure Grip is a designer and manufacturer of joysticks, control grips and controllers for use on forestry, construction and other mobile hydraulic equipment. The transaction was completed on February 2, 2015, and Chicago-based partner Christopher Sheaffer led the Paul Hastings team.

On all three transactions Chicago-based partner Ziemowit Smulkowski provided tax and structuring advice. Chicago-based partner Louis Hernandez and associate Holly Snow provided debt finance advice.
