Overview

Max Rosenberg is a partner in the Investment Funds & Private Capital practice at Paul Hastings and is based in the firm’s New York office. He focuses his practice on representing private investment fund sponsors, managers and investors in all aspects of structuring, documenting, offering, negotiating and operating private investment funds and related investment vehicles, including real estate, credit, infrastructure and private equity funds, as well as co-investment vehicles and continuation vehicles. He regularly addresses issues arising under corporate, partnership, securities, investment management, ERISA, and tax laws.

Mr. Rosenberg develops fund structures and terms on behalf of fund sponsors ranging from large financial institutions to emerging fund managers, and regularly negotiates with leading pension plans, foundations, endowments, insurance companies, fund-of-funds, private wealth channels and other institutional investors from around the world.

He also has experience in organizing and negotiating co-investment vehicles, representing investment managers and institutional investors in connection with fund secondary transactions including continuation vehicles and other recapitalizations, structuring promote arrangements for investment management team members, and advising with respect to issues relating to capital commitment-backed subscription line credit facilities.

Mr. Rosenberg received his J.D. degree, cum laude, from the University of Pennsylvania Law School, where he was a Levy Scholar and earned a Business, Economics and Public Policy Certificate from the Wharton School. He earned his B.A. degree, summa cum laude, Phi Beta Kappa, from UCLA.

Mr. Rosenberg serves on the firm’s recruiting committee and is co-chair of the New York office summer associate program.
