Joshua Cohen is a partner in the Investment Funds & Private Capital practice at Paul Hastings and is based in the firm’s Chicago office.

Josh advises asset managers on the structuring, formation and maintenance of open- and closed-end private investment funds, including hedge funds, private equity and credit funds, hybrid funds, fund of funds vehicles, liquid alternative mutual funds and scalable platforms for fund sponsors. Josh also represents asset managers in strategic transactions, including seed capital transactions and complex minority and majority investments, acquisitions and dispositions in existing firms. In addition, Josh advises his clients on regulatory matters involving the Investment Advisers Act, the Securities Act of 1933, the Investment Company Act, the Commodity Exchange Act, the Bank Holding Company Act, the Dodd-Frank Act and applicable agency rules.

Prior to joining Paul Hastings, Josh was an investment funds partner at multiple other international law firms. Earlier in his career, Josh gained in-house experience, including as global head of Alternatives Legal at JPMorgan Asset and Wealth Management and as managing director and general counsel at Highbridge Capital Management. During his time in-house, Josh managed the legal affairs for multibillion-dollar alternative investment platforms, covering a variety of asset classes, including publicly traded equity and credit, private equity and credit, real estate and infrastructure in the United States, Europe and Asia. Since returning to private practice, Josh has leveraged his insights from his time in-house to provide a nuanced approach to his clients’ legal and business needs.
