Overview

Rachel Hou is a China Associate in the Litigation practice of Paul Hastings.

Her practice focuses on anti-corruption and regulatory compliance, and corporate transactional matters. Ms. Hou has extensive experience in corporate and compliance- related due-diligence, conducting compliance investigations, designing and enhancing compliance programs, and conducting anti-corruption training with a focus on the pharmaceutical industry.

  • Conducted periodic compliance reviews on behalf of a world-leading medical device and pharmaceutical company for its mainland China operations and participated in the ensuing investigations.

  • Conducted an internal investigation on behalf of an international medical device company for its subsidiary's business operations in mainland China. The investigation result triggered the company's DOJ/SEC self-reporting obligation under the FCPA.

  • Represented a global investment firm in its acquisition of two Chinese private hospitals and conducted compliance reviews of their business, compliance programs and company policies.

  • Participated in a DOJ monitorship program on behalf of a world-leading aerospace company to enhance its anti-corruption program in Asia Pacific.

Corporate

  • Advised one of the largest integrated shipping companies in China on general corporate and compliance matters in relation to its potential investment in a Chinese energy technology company and such company's assets and facilities in the U.S.

  • Conducted due diligence on potential corporate targets in mainland China for an international logistics service company associated with its acquisition of 30% of the issued shares of a Hong Kong logistics service company.

  • Participated in due diligence for a Japanese real estate company in connection with its contemplated investment in a Cayman company for its warehouse operations in China.

Employment

  • Advised a Germany-based software company regarding employment considerations in the termination of a senior manager in its Chinese business.
