  • Represented Blackstone Credit, Ares Corporation and PSP Investments Credit II USA LLC on the debt financing in connection with Thoma Bravo’s definitive agreement to acquire Stamps.com for $6.6 billion.

  • Represented J.P. Morgan and Barclays Bank PLC on the acquisition financing for MKS Instruments, Inc. in its $5.1 billion cash and stock acquisition of Atotech Limited.

  • Represented Barclays Capital Inc., BBVA Securities Inc. and KeyBanc Capital Markets Inc. as joint bookrunning managers in connection with the debut $700,000,000 high yield 7.25% senior secured notes offering by Prime Healthcare Services, Inc.

  • Represented RBC Capital Markets, Credit Suisse Securities (USA) LLC, Barclays Bank PLC, and Citigroup Global Markets Inc., as lead arrangers for the $3.55 billion financing to be provided in connection with Meredith Corporation’s acquisition of Time Inc.  

  • Represented Jefferies Finance LLC, KKR Capital Markets LLC, Barclays Capital Market Asia Limited, The Hongkong and Shanghai Banking Corporation Limited, Sydney Branch and MUFG Bank LTD., as joint lead arrangers and joint bookrunners, and Jefferies Finance LLC as administrative agent with respect to the financing of KKR’s $2.2 billion acquisition of Campbell Soup’s international operations, including Arnott’s biscuits.  

  • Represented Bank of America, N.A., Wells Fargo Securities, LLC, Citigroup Global Markets Inc., Goldman Sachs Lending Partners LLC, RBC Capital Markets and UBS Securities LLC, as lead arrangers and bookrunners, and Bank of America, N.A. and Wells Fargo Bank, National Association, as administrative agents, in connection with $4,745,000,000 in term loan and asset-based revolving credit facilities for Bass Pro Group, LLC’s acquisition of Cabela’s Incorporated. 

  • Represented UBS Securities LLC, KKR Capital Markets LLC, Citigroup Global Markets Inc., Crédit Agricole Corporate and Investment Bank, Deutsche Bank Securities Inc., Mizuho Bank, Ltd. and Sumitomo Mitsui Banking Corporation as joint lead arrangers and bookrunners and UBS AG, Stamford Branch, as administrative agent, in connection with $1,285,500,000 and €615,000,000.00 term loan facilities in favor of Gardner Denver, Inc.

  • Represented Barclays Bank PLC, as administrative agent, and RBC Capital Markets, SunTrust Robinson Humphrey, Inc., and Jefferies Finance LLC, as joint lead arrangers and joint bookrunners, for the $575 million first lien credit facility, consisting of a $525 million term loan facility and a $50 million revolving credit facility, in connection with the acquisition of Vivid Seats LLC.

  • Represented PBF Holding Company LLC, a wholly owned subsidiary of PBF Energy Company LLC as borrower in connection with a syndicated $3.4 billion senior secured revolving ABL credit facility.

  • Represented the lead arrangers for committed financings of over $5 billion consisting of term loan and asset-based facilities in connection with a definitive agreement by Bass Pro Group, LLC to acquire Cabela’s Incorporated.

  • Represented Barclays Bank PLC, among others, as joint lead arrangers and bookrunners with respect to a $650 million term loan credit facility and a $100 million asset-based revolving credit facility to be provided in connection with the proposed acquisition of Electro Scientific Industries, Inc. by MKS Instruments, Inc.

  • Represented Royal Bank of Canada, as administrative agent, joint bookrunner and joint lead arranger together with certain other major financial institutions, for a $900 million asset-based revolving credit facility with JBS USA Food Company, the North American arm of JBS S.A. and certain affiliated companies.

  • Represented Goldman Sachs and Citigroup as lead arrangers in respect of the financing for the recommended public-to-private acquisition by Advent International of Laird PLC for approximately £1 billion. AI Ladder Limited and UK electronics and technology business Laird reached agreement on the terms of a recommended cash acquisition of the entire issued and to be issued ordinary share capital of Laird by Bidco.

  • Represented Barclays Bank PLC and RBC Capital Markets, as joint lead arrangers and joint bookrunners, and Barclays Bank PLC, as administrative agent, with respect to the $1.495 billion financing in connection with Victory Capital Holdings’ acquisition of USAA Shareholder Account Services, USAA Asset Management Company and Harvest Volatility Management.
