
Overview
Olga Belosludova is an associate in the Corporate Department of Paul Hastings and is based in the firm’s Tokyo office. Olga is the first Russian national to pass the Japanese Bar (i.e., Japan-admitted), and she did so via the Yobi-Exam route.
Throughout her career at Paul Hastings LLP, Olga has provided exceptional legal services to Fortune 100 companies, from guiding cross-border M&A to leading complex investigations and arbitrations.
Fluent in Japanese, English and Russian, combined with her solid academic background, Olga has provided invaluable legal advice to numerous foreign companies on business operations in Japan. Her work includes guiding foreign banks and funds in investment and loan matters involving Japanese companies. She has significant experience counseling multinational companies on privacy & security issues, and Legal 500 recognized her as a Rising Star in its Fintech division (2023). Olga is also certified as an IAPP Certified Information Privacy Professional in the U.S. and Europe (CIPP/US, CIPP/E).
Beyond transactional work, Olga is a risk management expert, accredited as an ACFE Certified Fraud Examiner (CFE), with a track record in leading over 20 internal investigations for companies in various industries. Her investigation experience ranges from daily compliance issues to high-stake misconduct cases, and she strives hard to make the organization healthier and stronger when the investigation concludes. While at the New York office (August 2023 – June 2024), she additionally gained experience in JAMS arbitration and U.S. litigation.

- Advised Tri Pointe Homes Inc. on its US$4.5 billion strategic combination with Sumitomo Forestry Co., Ltd. to create a leading U.S. homebuilder.
- Advised U.S. and Canadian banks on Japanese tender offer rules and regulations for a US$47 billion acquisition attempt of a Japanese diversified retail holdings company.
- Advised on a US$3 billion acquisition attempt of a major Japanese company by a leading U.S. telecom company.
- Advised a major U.S. medical device company on its US$1 billion acquisition of an electronics manufacturer.
- Represented a U.S.-based private equity firm in its acquisition of enterprise data management assets from a major global financial information provider, including complex FEFTA (Foreign Exchange and Foreign Trade Act) analysis.

- Represented a major Japanese medical device company in a high-stakes DOJ investigation, successfully resulting in all charges being dropped.
- Conducted over 17 internal investigations for a global life sciences company involving complex compliance issues, including FCPA violations, antitrust concerns and off-label promotion risks.
- Represented a major U.S. medical device company in a voluntary disclosure to the DOJ regarding the misuse of external funding.
- Conducted a sensitive internal investigation for a major Japanese manufacturer regarding management-level misconduct at its U.S. subsidiary reported by a whistleblower.
- Conducted a sensitive investigation for a major U.S. media and entertainment company to assess legal risks posed by a terminated employee, resulting in the withdrawal of all claims.
- Led a proactive market review of bribery risks for the Japanese subsidiary of a U.S. life sciences company.
Data Privacy, Cybersecurity and Fintech
- Advised major global companies — including a U.S. cybersecurity firm, a cloud software provider and a multinational entertainment company — on crisis response for ongoing cyberattacks and data breaches, including mandatory disclosures to the Japanese Personal Information Protection Commission (PPC).
- Advised a major U.S. bank on Japanese data privacy regulations for its SaaS product, focusing on cross-border transfer of PII from Japan to the U.S.
- Advised various financial institutions, including a major U.S. cryptocurrency exchange, on regulatory licensing requirements for operating as a cryptocurrency exchange operator in Japan.
- Advised a global payment services company on the implications of amendments to relevant laws, including Japanese anti-money laundering (AML) laws, for its market entry of a new product.
- Advised a major U.S. growth equity firm on regulatory requirements for its portfolio company to provide cross-border payment services in Japan.
Life Science and Healthcare Regulatory
- Advised a NASDAQ-listed U.S. life sciences company on clinical trial agreements with physicians in Japan.
- Advised a U.S. biopharmaceutical company on regulatory compliance under Japanese pharmaceutical laws regarding the hosting of medical seminars and promotional events.
- Advised a major U.S. life sciences manufacturer on reviewing third-party consulting reports to ensure accurate description of U.S. ESG laws.
- Advised a U.S. marketer and distributor of diagnostic tests on a contract dispute with a Japanese manufacturer, including interpretation issues under Japanese law.
Employment and HR Crisis Management
- Advised a global e-discovery company on litigation risks associated with workforce restructuring, including termination of contractors and management-level officers.
- Advised a global social media platform on various sensitive HR compliance issues, including risks associated with converting contractors to full-time employees and disciplinary measures under Japanese labour law.
- Advised a major global manufacturer headquartered in Japan on its reduction in force (RIF) strategies and execution.
- Assisted a European holding company with the sensitive process of resignation and appointment of new directors for its Japanese subsidiary.
- Appointed as an External Collaborator for the International Labour Organization in February 2026 to analyze legal, administrative and practical frameworks for occupational safety and health (OSH) recording and notification systems across the Asia-Pacific region, focusing on compliance with ILO standards.
- Appointed as an External Collaborator for the International Labour Organization in May 2021 and proactively supported the Responsible Supply Chains in Asia programme until May 2022.
Dispute Resolution
- Key member of the team representing a major Japanese pharmaceutical company in securing a multibillion-dollar victory in an ICC arbitration against a European pharmaceutical company.
- Advised a publicly listed Japanese construction equipment company on document production strategies during arbitration, specifically handling documents containing PII.
