New York, Los Angeles— Paul Hastings LLP, a leading global law firm, announced today that Tram Nguyen and Yousuf Dhamee have joined the firm as partners in New York and Los Angeles, respectively. Both lawyers are investment management/private fund partners who were formerly partners with Stroock & Stroock.
“Tram’s experience as a former SEC Branch Chief and rule-maker — at the forefront of issues that are critical to many market participants — allows her to give clients key advice on regulatory risk management,” said Michael Rosella, global chair of the Investment Management practice. “Yousuf’s background as a former in-house hedge fund counsel enables him to be an effective translator of legal issues to the business side of his clients,” he added.
“We have market leading investment fund, private equity and regulatory practices and with these additions on the East and West Coast we will be even better positioned to help our clients,” said Elizabeth Noe, global chair of the Corporate practice at Paul Hastings. “Working in tandem, these two lawyers have been effective in helping clients realize optimal commercial solutions and we’re confident they’ll bring that same benefit to Paul Hastings,” she added.
Ms. Nguyen focuses her practice on hedge funds and private equity funds, advising clients on all aspects of fund formation, structuring and fundraising. She has experience with fund-linked notes and customized funds. Ms. Nguyen also advises U.S. and non-U.S. financial institutions and investment advisers on U.S. regulatory requirements including registration and reporting requirements.
Prior to joining Stroock, Ms. Nguyen was the Branch Chief of the Private Funds Branch at the SEC Division of Investment Management in Washington, D.C., where she served from 2010 to 2013. At the SEC, she worked on developing and implementing SEC rules for private fund advisers under the Dodd-Frank Act and the JOBS Act.
Mr. Dhamee focuses his practice on investment management work. He represents investment advisers in connection with the structuring and distribution of investment funds, including hedge funds, registered funds, private equity funds, and customized investment products. Mr. Dhamee has experience representing sovereign wealth funds, institutional advisers, and tax-exempt institutions seeking to invest in private funds.
Mr. Dhamee also advises clients on the establishment and operation of investment adviser businesses and provides ongoing regulatory advice related to these entities. His practice includes structuring incentive compensation and equity ownership arrangements for principals of investment management firms.
Mr. Dhamee has previously worked as a director in the general counsel's office of a registered investment adviser of hedge funds, debt funds and issuers of CDOs. Before and after joining the general counsel’s office, Mr. Dhamee practiced with international law firms in New York City and Los Angeles, including Skadden, Arps and Sullivan & Cromwell.
The arrival of Ms. Nguyen and Mr. Dhamee follows the May 2015 addition of Vadim Avdeychik, who joined from PIMCO and focuses on registered funds, their advisers and Boards.
