Paul Hastings Advises MemorialCare Medical Foundation in its Affiliation with Greater Newport Physicians Medical Group

Los Angeles, CA (April 02, 2012) - Paul Hastings LLP, a leading global law firm, announced today that the firm represented MemorialCare Medical Foundation (the Foundation), a California nonprofit public benefit corporation organized for the purpose of owning and operating multi-specialty clinics and a wholly owned subsidiary of Memorial Health Services, in the Foundations affiliation with Greater Newport Physicians Medical Group, Inc. (GNP), a large independent practice association operating throughout Orange County, California, and the acquisition of all membership interests of Nautilus Healthcare Management Group, LLC (Nautilus), a related management services organization.

The transaction, which is effective as of March 1, 2012, results in a long term professional relationship between the Foundation and GNP, such that GNP will arrange for the provision of professional medical services to patients of the Foundation. The transaction and the ongoing professional relationship between the Foundation and GNP furthers the Foundations medical research, education and healthcare provision objectives and will be a benefit to the communities served by the Foundation.
