BCD Acquisition, Inc. to Acquire American Trailer Works, Inc.

NEW YORK – Paul Hastings LLP, a leading global law firm, represented Goldman, Sachs & Co. and Barclays Capital Inc. as Initial Purchasers and Goldman Sachs Bank USA, Barclays Bank PLC, SunTrust Robinson Humphrey, Inc. and Wells Fargo Bank, National Association as joint lead arrangers and lenders in connection with a private offering of $670 million aggregate principal amount of 9.625% senior secured notes due 2023 and a $100 million asset-based revolving facility for the purposes of financing the acquisition of American Trailer Works, Inc. by BCD Acquisition, Inc., a company controlled by investment funds affiliated with Bain Capital Private Equity and the parent company of Big Tex Trailers, Inc.
