Overview
James Gallagher is a partner in the Financial Restructuring group at Paul Hastings and is based out of the firm’s New York office. James specializes in leveraged finance transactions, specifically private credit and special situations investing. He represents private credit funds, special situation and opportunistic funds, business development companies (BDCs), hedge funds and other investment advisors, leading financial institutions and borrowers in leveraged finance, unitranche, first lien/second lien, mezzanine, debtor-in-possession financings, rescues, exits, liability management transactions and other secured and unsecured lending transactions.
Representations
- Represented a private credit manager and related funds in connection with an out of court restructuring of first lien indebtedness of the world’s leading provider of entertainment and event technology and production services.
- Represented private credit manager in connection with a $665 million senior secured unitranche term loan credit facility the proceeds of which were used to finance the acquisition of a food product and packaging company.
- Represented the fulcrum lender in connection with a DIP financing for a leading children’s retail clothing company
- Represented private credit manager in a $375 million senior secured term loan to an international corporation which was secured by collateral in multiple countries.
- Represented a Steering Committee of first-lien term lenders in connection with approximately $1.3 billion out-of-court balance sheet restructuring of leading production, entertainment and event technology company.
- Represented aluminum manufacturing company in connection with the incurrence of a $125 million asset based loan
- Represented private credit manager as DIP agent, prepetition administrative agent and joint venture purchaser through credit bid of substantially all the assets of PGX Holdings, Inc. and its affiliated companies in connection with their Chapter 11 cases.
- Represented leading real estate debt funds in connection with multiple financing transactions involving affiliates of Progress Residential.
