European Issuers Listing in the U.S.: a New Wave?

Paul Hastings presents a breakfast seminar focusing on the opportunities and challenges for European issuers contemplating listing in the U.S.
The past few months have seen a considerable increase in the number of European issuers contemplating a listing in the U.S. This has been caused by certain key drivers, including general perceptions that:
the U.S. is one step removed from the uncertainties in Europe;
the U.S. listing regime is no longer considered unduly burdensome when compared to that of other key exchanges; and
there is a depth of analyst coverage, institutional investors and liquidity in the U.S. and therefore a correspondent positive effect on valuation for issuers in certain sectors, such as technology.
This seminar will discuss these and other considerations, and our panel will provide an overview of the opportunities and issues involved for European issuers contemplating a U.S. listing. It will also include a discussion of the recently enacted JOBS Act in the U.S., which has relaxed the listing regime for certain emerging growth companies, and which is also widely anticipated to further this trend.
