Overview

Greg Drozdzal is an associate in the Securities and Capital Markets practice of Paul Hastings and is based in the firm’s New York office. His practice focuses on representing public and private companies, investment banks and institutional investors in a variety of corporate financing, public company reporting, SEC/national exchange compliance and corporate governance matters. Greg's background as a medical doctor and scientist shapes his goal-oriented and people-first approach to counseling clients and gives him unique insight into the business issues faced by companies in the highly regulated biotechnology, medical devices and pharmaceutical industries.

Greg has experience representing clients in a variety of capital-raising mandates, including initial public offerings, primary and resale shelf registrations, fully- and confidentially-marketed follow-ons, secondary offerings, "at-the-market" offerings, registered directs, private investments in public equities, Rule 144A offerings and growth and preferred equity financings. He has also represented buyers and sellers in cross-border purchases/sales of pharmaceutical manufacturing, intellectual property and regulatory assets, as well as in global strategic collaborations, joint ventures and merger-related proxy solicitations. Greg's advisory practice focuses on counseling public companies on corporate governance, proxy, annual meeting, public disclosure and securities law matters.

Greg received his MD from the University of Ottawa Faculty of Medicine in 2015 and his JD from the University of Toronto Faculty of Law in 2020, graduating with the Angus MacMurchy Gold Medal and Gallant Ho Prize for the highest cumulative average in the JD class of 2020. Prior to his career in law, Greg conducted biomedical and health policy research at some of Canada's leading academic institutions and was an internal medicine resident physician at various University of Toronto-affiliated teaching hospitals.
