Overview

Sam Ash is an associate in the Investment Funds & Private Capital practice at Paul Hastings and is based in the firm's New York office. Sam's practice focuses on all aspects of sponsor-side private fund formation and operation. Sam further advises on bespoke private funds transactional matters, including secondaries transactions, revenue share “seeding” arrangements and GP-level liquidity solutions. Sam has meaningful experience spanning from lower middle-market emerging managers to some of the market's most established fund sponsors. 

Prior to Paul Hastings, Sam served as managing director of capital markets at Elion Partners, LLC, a leading alternative investment manager focused on the industrial logistics real estate sector, where he was responsible for all transactional and legal management of capital formation and investor engagement and management company matters.

Prior to Elion, Sam served as an associate of the Private Funds group at an international law firm and represented market-leading private equity sponsors on a broad range of matters, including commingled mega fundraises, co-investments and overall portfolio and fund management.

Representations

  • Silver Lake Partners VI (SLP VI), a $20 billion buyout fund, in its formation and operation starting in 2021, investing across technology, technology-enabled and related growth industries; also advised on the operation and co-investment activities of Silver Lake Partners V (SLP V), the $15 billion predecessor fund to SLP VI, organized in 2015
  • Elion Partners on its 2022 GP-led secondaries transaction and subsequent formation of new $125 million separately-managed account backed by Brookfield Asset Management, which recapitalized industrial assets owned by closed-end funds managed by Elion Partners; represented Elion Partners on subsequent $130 million follow-on investment by Brookfield Asset Management within such strategy
  • Elion Partners and its Managing Principals on limited partner “seeding” arrangements, whereby a global financial institution made anchor limited partner commitments to series of flagship funds in exchange for a minority share of gross management fee and carried interest revenues from such funds (including purchase of Class B units of Elion’s management company). Further representation on formation and establishment of Elion Industrial Fund II (EIF II), a $410 million value-add real estate fund organized in 2024, and its dedicated sidecar co-investment vehicles
  • Madison International Real Estate Liquidity Fund VIII (MIRELF VIII), a $1.7 billion direct real estate secondaries fund organized in 2021, in its formation and operation and its related co-investment vehicles
