Overview

Megan Roberts is a Chicago-based partner in the firm’s Structured Credit practice. Her practice focuses on advising issuers, asset managers, underwriters, lenders and investors in all aspects of asset-backed finance (ABF), structured finance and similar commercial transactions, including both capital markets (144A/Reg S) and private (4(a)(2)) offerings of asset-backed securities and asset-backed commercial paper (ABCP) conduit transactions. She also regularly advises buyers and sellers in the acquisition of consumer loans and other financial assets, including forward flow purchase facilities and portfolio acquisitions.

Megan assists in the financing and acquisition of traditional asset classes, such as personal loans, including fintech, trade receivables, student loans, auto loans and leases, credit card receivables, floorplan loans, equipment leases and data centers, as well as nontraditional asset classes including C-PACE, structured settlements, television royalty rights, healthcare receivables and whole business securitizations. She has participated in a variety of capital relief transactions, including participation purchase facilities.

Representations

Megan’s representative matters include:

  • Counsel to Carlyle and KKR in the acquisition of a portfolio of prime private student loans from Discover Bank with a principal balance of approximately $10.1 billion.
  • Represented KKR’s credit funds and accounts in connection with the purchase of a $7.2 billion portfolio of super-prime recreational vehicle loans from BMO Bank National Association.
  • Counsel to a joint venture among Nelnet, Inc. and certain investors in the acquisition of Wells Fargo’s $10 billion private student loan portfolio.
  • Issuer’s counsel on the $4.03 billion Nelnet Student Loan Trust 2021-A securitization backed by private student loans.
  • Counsel to OneMain in its OMFIT and SLFT securitizations and warehouse facilities.
  • Issuer’s counsel for a national online lender in its 144A securitizations backed by unsecured personal loans.
  • Seller’s counsel for various marketplace and fintech lenders in forward flow purchase facilities.
  • Representation of a national bank in the sale of its FFELP and private student loan portfolios, including nonperforming loans.
  • Borrower’s counsel in a warehouse facility backed by student loan refinance loans.
  • Lender’s counsel in numerous prime and subprime auto loan warehouse facilities.
  • Lender’s counsel in the acquisition financing of prime auto loan receivables.
  • Counsel to a large syndicate of commercial paper conduits and bank lenders in FFELP student loan warehouse financings with aggregate commitments in excess of $30 billion.
  • Lender’s counsel in several accounts receivable facilities in utilities, transportation and other sectors, including healthcare receivables.
  • Issuer’s counsel in the issuance of SpringCastle Asset-Backed Notes to finance the purchase of $3.9 billion portfolio of consumer loans from HSBC.
  • Counsel to auto loan originators in connection with the establishment of vaulting arrangements for electronic chattel paper and development of Master Electronic Collateral Control Agreement form, including issues with respect to the perfection of security interests by “control” of “authoritative copies.”
