Overview

Fiona Constant-Lotz is an antitrust associate in the Paul Hastings London office. Her practice centers on merger control, abuse of dominance and cartel investigations. She advises clients on antitrust aspects of transactions, as well as on foreign direct investment regimes in the U.K., France and across Europe.

Fiona frequently engages with the U.K. Competition and Markets Authority and the European Commission and has experience spanning a broad range of sectors, including E&P, industrials and software.

Before joining Paul Hastings, Fiona practiced in London and Brussels and completed her training in France.

  • Diamond Offshore Drilling on the acquisition by Noble Corporation for $1.6 billion.
  • Helmerich & Payne on its $2 billion acquisition of KCA Deutag.
  • Huntsman Corporation on the $718 million sale of its Textile Effects business to Archroma.
  • JBT on the sale of its AeroTech business.
  • NexTier Oilfield Solutions Inc. in its $5.4 billion merger with Patterson-UTI Energy.
  • Noble Corporation in the $3.4 billion merger with Maersk Drilling, subject to Phase I remedies agreed with the CMA.
  • Zebra Technologies on the $1.3 billion acquisition of Elo Touch Solutions and on the acquisition of Reflexis Systems.

  • Actis, a London-based infrastructure manager, on its sale to General Atlantic.
  • Advent International on several matters, including the acquisition of Kereis, the acquisition of the Essential Home Business of Reckitt Benckiser, and the acquisition of Sapiens.
  • Cinven on several matters, including its public acquisition offer of all outstanding shares of SYNLAB AG.
  • EQT on the €6.8 billion acquisition of Baring Private Equity Asia (a leading private markets investment firm).
  • Francisco Partners on several matters, including the acquisition by ByBox Holdings Limited of direct competitor Pelipod Limited before the CMA, the acquisition of Sumo Logic, and the acquisition of the healthcare data and analytics assets from IBM (part of the Watson Health Business).
  • GIC on several matters, including the minority interest acquisition in Messer Group (a supplier of industrial and specialty gases).
  • KKR on The Crosby Group’s business combination with Kito Corporation.
  • MRI Software and Capita One in the CMA Phase 1 investigation following the completed acquisiton by MRI Software of Capita One.
