Paul Hastings Bolsters M&A Platform with Addition of Premier Executive Compensation Partner in New York

Further enhancing its Chambers-ranked global Executive Compensation, Benefits & ERISA practice and broader public company M&A and corporate platform, Paul Hastings LLP announced today that premier executive compensation and benefits lawyer Sasha Belinkie has joined as a partner in New York.
Arriving from White & Case, Belinkie focuses on the executive compensation aspects of mergers and acquisitions and cross-border capital markets and restructuring transactions. She also advises on standalone executive compensation and governance matters. Belinkie spent the majority of her career at Wachtell prior to White & Case.
Belinkie regularly handles executive compensation and benefits issues arising in public company mergers and acquisitions, with an emphasis on representing target companies in strategic mergers and advising public and private buyers in the acquisition, management and disposition of corporate assets. Often sitting at the intersection of corporate strategy, governance and human capital, Belinkie works closely with boards and senior management to navigate some of the most sensitive and consequential issues around workplace talent, from structuring employment contracts and incentive packages to handling complex personal tax considerations when companies change hands. Additionally, she counsels companies on internal governance matters, securities laws and compensation disclosure, and she assists executives on all aspects of employment matters — from stock options and other equity awards to long-term retention and severance agreements.
Belinkie’s experience includes significant work for Ionic Digital, Inc., Masimo Corporation, Sun Pharmaceuticals Industries Inc. and USA Rare Earth, Inc. Representative matters include advising Masimo Corporation on its $9.9 billion acquisition by Danaher Corporation; advising Sun Pharmaceuticals on its agreement to acquire all outstanding shares of Organon & Co. for an enterprise value of $11.75 billion; advising Fertitta Entertainment on its agreement to acquire Caesars Entertainment for approximately $17.6 billion; and Square, Inc. in its $29 billion acquisition of Afterpay Limited.

Belinkie has served as the co-chair of the New York City Bar Association’s Subcommittee on Executive Compensation and Nonqualified Deferred Compensation since 2020. In 2022, she was recipient of the “On the Rise — Top 40 Young Lawyers Award” given by the American Bar Association.
