and its chief executive officer before the Eastern District of Virginia, the
U.S. Court of Appeals for the Fourth Circuit, and the Delaware Court of
Chancery in shareholder class actions arising out of the US$18 billion merger of equals between Towers Watson & Co. and Willis Group Holdings plc.
Represented Eden Rock Capital Management LLP in
a class action brought by owners of limited partnership units in several
limited partnerships in the Northern District of California, for breach of
fiduciary duty and related claims. ERCM LLP was a London-based investment advisor to one of the limited partnerships. ERCM LLP was alleged to have conducted insufficient due diligence on the underlying investments in the aftermath of the 2009 financial crisis, including investments which allegedly involved Maddoff-like Ponzi schemes. We prevailed on a motion to dismiss based on a forum selection clause before the judge and the matter was settled while pending in Delaware.
Representing Identiv and its board of directors in a class action and derivative litigation filed in the U.S. District Court for the Northern District of California. The plaintiffs generally allege that the defendants made false and/or misleading statements between 2013 and 2015 related
to internal controls.
Defended Enbridge Energy Partner, L.P., its general partner Enbridge Energy Company, Inc., and various individual special committee defendants in a multi-year Delaware unitholder derivative and
putative class action litigation challenging a 2015 pipeline drop-down
transaction and related special tax allocation. After previously obtaining
dismissal of claims arguing that the special tax allocation required unitholder approval (which dismissal was upheld by the Delaware Supreme Court), we achieved dismissal of all class action claims in the Court of Chancery in 2018. Thereafter, following approval by the unitholders of a repurchase transaction proposed by Enbridge, Inc. which extinguished standing in the derivative litigation, plaintiff’s counsel joined defendants in stipulating to dismissal of the remaining claims in the action.
