Overview

Berton Wang is an associate in the corporate department of Paul Hastings and based in the firm’s Hong Kong office. His practice focuses on initial public offerings, mergers and acquisitions, and private equity transactions. He joined the Beijing office of Paul Hastings in 2015 and relocated to the firm’s Hong Kong office in 2020.

Mr. Wang is admitted to the New York State Bar. He also passed the bar examination in China in 2012, but does not hold a current practicing certificate in the PRC. Mr. Wang speaks Mandarin, English and Spanish.

  • Represented Morgan Stanley Asia Limited, China International Capital Corporation Hong Kong Securities Limited, and UBS Securities Hong Kong Limited as joint sponsors in the US$130.3 million global offering and IPO on the Main Board of the SEHK of Weilong Delicious Global Holdings Ltd. (“Weilong”). Weilong is a Chinese spicy snack food maker with a top ranking in 2021 among all spicy snack food enterprises in China.
  • Represented Haitong International Capital Limited as the sole sponsor, overall coordinator and sole global coordinator in the HK$340 million global offering and IPO on the Main Board of the SEHK of LX Technology Group Limited. LX Technology Group Limited is a device lifecycle management solution provider, principally engaged in the sales of refurbished de-commissioned IT devices and provision of device and IT technical subscription services to SMEs in China.
  • Represented China International Capital Corporation Hong Kong Securities Limited and CMB International Capital Limited (in no particular order) as joint sponsors and joint global coordinators in the global offering and IPO on the Main Board of the SEHK of Dingdang Health Technology Group Ltd. Dingdang Health Technology is a service provider in providing express digital healthcare services in China.

  • Represented Morgan Stanley Asia Limited, Credit Suisse (Hong Kong) Limited and China Merchants Securities (HK) Co., Limited as the underwriters in the US$322 million global offering and IPO of Zhou Hei Ya International Holdings, a leading brand and retailer of casual braised food in China, on the Main Board of the Hong Kong Stock Exchange.
  • Represented Morgan Stanley Asia Limited and Nomura International (Hong Kong) Limited as the underwriters in Honma Golf Limited’s US$172 million global offering and IPO on the Main Board of the Hong Kong Stock Exchange. This marks the first golf equipment company listed in Hong Kong.
  • Represented Morgan Stanley Asia Limited and CCB International Capital Limited as the Joint Sponsors in Harmonicare Medical Holdings’, the largest private obstetrics and gynecology specialty hospital group in China, US$205 million global offering and IPO on the Main Board of the Hong Kong Stock Exchange. This marked the first Chinese hospital group to list on the Hong Kong Stock Exchange and was awarded “Deal of the Year 2015” by China Business Law Journal.

M&A, PE and Financing

  • Represented SMBC, Financiera de Desarrollo Nacional, and China Development Bank in financing the development, construction and operation of the 4G road Autopista al Mar 2 in Colombia.
  • Represented a leading PRC film, television drama and web series producer and distributor in its Series A financing from a PRC market-leading online entertainment service provider.
  • Represented China Fire Safety Enterprise Group Limited (“CFE”), in its acquisition of Pteris Global Limited from China International Marine Containers (Group) Co., Ltd. at a consideration of approximately US$700 million, which was settled by CFE through the issuance of new shares and convertible bonds.  The transaction constitutes a very substantial acquisition and connected transaction under the Hong Kong Listing Rules for CFE, requiring a consent for special deal and whitewash waiver from the Securities and Futures Commission and the independent shareholders of CFE.
  • Represented China Fire Safety Enterprise Group Limited, in its placing of new shares to a fund under the management of China Merchants Group Limited, which raised gross proceeds of approximately HK$250 million.
  • Represented China Huarong Asset Management Co., Ltd., in its US$2.4 billion capital increase from a consortium of strategic investors, including China Life Insurance, Warburg Pincus, CITIC Securities International, Khazanah Nasional Berhad, China International Capital Corporation, COFCO, Fosun International, and Goldman Sachs.
  • Represented SoftBank, in its US$600 million investment in KuaiDi Dache.
