Phil Ratner is a partner in the Finance and Restructuring practice, based in the firm’s New York office. Mr. Ratner regularly advises clients on leveraged buyouts and acquisition financing, direct and syndicated lending, bridge, mezzanine and second lien loans, dividend recapitalizations, working capital facilities, asset-based lending, and cross-border structuring. Mr. Ratner’s practice is focused on the representation of credit funds, private equity sponsors and their portfolio companies, corporations, and investment banks on a diverse range of complex secured and unsecured corporate finance transactions.
Mr. Ratner has substantial experience with special situations and distressed debt transactions, including chapter 11 reorganizations, workouts and out-of-court restructurings, and opportunistic lending transactions. He routinely represents creditors, including agents, ad hoc lender groups and official committees, as well as debtors and other stakeholders, in connection with debtor-in-possession and exit financing, liability management transactions and the acquisition and divestiture of assets of bankrupt and distressed entities.
