Sylvain Bergès is a partner in the Corporate department of Paul Hastings and is based in the firm’s Paris office.

He has significant experience in a broad range of public law and energy matters. He has a focus on project finance and regulatory issues. He also handles numerous litigations before French administrative and civil courts as well as before the dispute settlement body of the French energy regulatory commission (CRE).

His recent assignments include likewise advising large utilities on public law matters (public procurement rules, public property law, financial public law and statutory law of public entities, etc.).

Experience

Regulation

  • A clearing house on the conditions of clearing of gas and power derivatives contracts
  •  An electricity distributor on (i) the analysis of securitization conditions applicable to flows deriving from the TURPE (tarif d’utilisation des réseaux publics de distribution) and (ii) the conditions of indirect connection to its distribution grid
  • A large industrial undertaking on (i) the analysis of the legal framework applicable to the construction and operation of a new power interconnection line between several European countries (BRITIB project) and (ii) the negotiation with the CRE in order to obtain the acknowledge of receipt of the derogation request mentioned by article 17 of the Regulation n°714/2009/CE of 13 July 2009
  • A large industrial undertaking in the creation, by a power-intensive company, of a subsidiary in charge of the purchase and resale of energy to its subsidiaries
  • Issy-Grid (a consortium grouping EDF, ERDF, Total, Bouygues Immobilier, Bouygues Telecom, Microsoft, Bouygues Energy and Services, Steria, Schneider Electric and Alstom) in the creation and development of the first private smart grid program in France

Renewable energy

  • Axpo AG on the acquisition of several wind farm projects in France (≥ 100 MW)
  • SAICA on the analysis of the requirements to be met in order to sign a power purchase agreement under the structure of electricity generation project from residues of a paper mill production process
  • Fortum and BKW FMB on the renewal of hydroelectric power concessions

Contractual issues

  • Exeltium on the creation, financing and refinancing of the electro-intensive consortium of 27 large industrial undertakings
  • RWE on the review of power supply contracts produced by 15 hydro plants in France, for a total power of 130 GWh per year, as well as on the negotiation of contracts for the transfer of guarantees of origin
  • Dansk Commodities on the drafting of an gas and electricity trading contract
  • Green Yellow on the analysis and modification of the terms of an energy performance contract (contrat de performance énergétique)
  • State of Monaco on drafting the concession contract for the public distribution of electricity and natural gas
  • GRTgaz on the drafting of the “interface” and “connection” contracts for the extension of the Montoir LNG Terminal

Gas

  • A financial establishment and a storage operator for the implementation of a commercial offer concerning the purchasing and storage of natural gas
  • Koch Industries and BP España in their natural gas supply activities in France. Assisting in the filing and approval from the competent authorities of the authorizations for the supply in gas, necessary for this activity in France
  • CDC on the study of the conditions for the connection of an island to the pipeline between Algeria and Italy

Mining

  • A mining company on the acquisition of 100% of the share capital of Egdon Energy Resources France Limited who operates an hydrocarbon exploration permit in France
  • An infrastructure fund on the project of the acquisition of Géosel who operates one of the biggest hydrocarbon storage facility
  • European Gas Limited on the acquisition of Gazonor facilities (coal-bed methane activities) and the project of IPO
  • SMSP (Société minière du sud pacifique) on the compatibility of the development scheme of mineral wealth with the principles of equality and freedom to develop business

Litigation

  • A large supplier on a challenge pertaining to the execution of a public procurement contract signed with a major public entity
  • ERDF and URM in disputes brought before the CRE’s standing committee for litigations, as well as administrative and commercial courts, by (i) some 300 solar energy producers following the moratorium put in place in December 2010 and (ii) wind energy producers, regarding the cost and timeframe necessary for the connection of their facilities
  • A large supplier on a challenge pertaining to the awarding of natural gas transmission capacities between the north and south of France
  • SNCF in (i) a dispute concerning the acquisition by RTE of the SNCF’s electricity transmission grid, (ii) a dispute against its supplier in the application of the TaRTAM transition tariff system and (iii) a request for the cancellation of the decision of 23 September 2005 approving the TURPE (tarif d’utilisation des réseaux publics d’électricité) since it did not take into account the particular situation of a railway operator
