Overview

Elliott Hunt is an associate in the Abu Dhabi office of Paul Hastings and advises procurers, project sponsors and investors on commercial contracts for major oil and gas, energy, petrochemical and infrastructure projects, specializing on non-contentious construction, project development, procurement considerations and technology licensing. His practice spans the full project lifecycle — from tendering and procurement through to construction, operations and maintenance. Elliott has acted on some of the largest and most complex regional and international projects across the Middle East, Africa and Europe. His experience includes strategic infrastructure assets, power and water facilities, petrochemical plants, data centers and oil and gas assets.

Representations

  • Saudi Aramco (Saudi Arabia) – assisting Saudi Aramco with:
    • the EPC, O&M and LTSA arrangements for multiple major projects including water desalination, power cogeneration, residential camps and water treatment facilities, camps and plants. Drafting and negotiating required construction contracts including ensuring alignment with relevant project documents and participating in negotiations with various stakeholders;
    • the supply and procurement, EPC and technology licensing aspects of the development of a large steel plate production facility to be developed by Saudi Aramco in collaboration with the PIF and Bao Steel. Responsible for drafting, leading negotiations and finalizing supply and procurement contracts between stakeholders as well as with equipment suppliers, EPC contractors and technology license providers;
    • FEED, EPC and structuring / collaboration aspects of the upcoming SOFON mega-project to establish a national-champion ship building company in the Kingdom; and
    • numerous other projects (existing and upcoming) in the Kingdom and internal Saudi Aramco initiatives, including the establishment of a national-champion facility management company, development and enhancements to Saudi Aramco’s standard form contracts (EPC, drilling / offshore rig services, technology license agreements and supply and procurement contracts).
  • Emirates Water and Electricity Company (EWEC) (UAE) – assisting EWEC with tendering, EPC and O&M aspects for a number of projects including the Mirfa 2 Reverse Osmosis Independent Water Plant Project, the Saadiyat Island Reverse Osmosis Independent Water Plant Project, the BESS 1 Battery Energy Storage System Project, the Madinat Zayed Open Cycle Gas Turbine Project and the Taweelah C Gas Fired Power Project.
  • Rua Al Madinah (RAM) (Saudi Arabia) – advising RAM on:
    • various risk allocation considerations and procurement strategies to be used in relation to two early civil works packages for the development of large scale tourist infrastructure in Madinah, Saudi Arabia; and
    • the preparation and finalization of a suite of FIDIC- based construction template contracts, various supply and procurement contracts, a theme park operations agreement and facility management agreements for the RAM project.
  • Power International Holding / UCC Holding (UCC) (Qatar / Kazakhstan) – advising UCC (representing the Government of Qatar) on the procurement and EPC elements of the proposed inter-governmental 1,500km BBS2 Gas Pipeline project in Kazakhstan including leading extensive EPC negotiations with various Kazakh Government stakeholders such as QazaqGas and Samruk-Kazyna.
  • National Center for Privatization (NCP) and Government of Saudi Arabia (Saudi Arabia) – advising NCP and other Government stakeholders on the restructuring of the concession for the Hajj Terminal Complex at King Abdulaziz International Airport (on account of the impact of Covid19 on the existing concession).
  • BioTech Energy (BTE) (Pakistan) – advising BTE with the development of a 200 KTY renewable oils and fats hydro processing refinery in Pakistan. Drafting and negotiation of a FIDIC-Silver Book based EPC contract with the EPC Contractor and negotiation of technology licensing aspects for the proposed plant.
  • Proman AG (UAE) – advising Proman in a joint venture with Abu Dhabi Chemicals Derivatives Company (TA’ZIZ) to develop the UAE’s first world-scale natural gas to methanol facility including procurement and negotiation of FEED, EPC and technology licensing arrangements. 
  • Etihad Rail (UAE) – representing and advising Etihad Rail in relation to the development of various construction contracts to be used in current and future phases of the Etihad Rail project. 
  •  Diriyah Gate Development Authority (DGDA) (Saudi Arabia) – advising DGDA in relation to the preparation of standard form construction contracts for a range of construction, procurement and consultancy services. Providing additional ongoing claims and contractual disputes advice to DGDA in relation to various EPC Contractor claims and settlements. 
  • USAID (Jordan) – advising on construction and engineering aspects of the Amman-Aqaba Water Desalination and Conveyance Project in Jordan, which will bring 300 MCM/ year of desalinated water from Aqaba in the South to Amman in the North of Jordan.
  •  Other
    • Advised various major Saudi Arabian and Emirati developers / procurers in relation to procurement / tendering strategies (including preparation of RFPs and tendering documentation), the development and preparation of construction contracts for a range of construction, procurement and consultancy services (including EPC, D&B, construction only, minor works, supply contracts, facility management / O&M agreements and technology licensing agreements) using industry standard forms such as FIDIC, as well as bespoke forms for clients including Abu Dhabi Ports, G42 and other Mubadala subsidiaries, Saudi giga-developers, Al Balad, and Oil Park Development Company (OPDC) for the development of ‘The Rig’ theme park. 
    • Representing Tarshid (Saudi Arabia) and ADES / TAQA (UAE) in relation to the development of various energy savings documentation for super-ESCO projects in Saudi Arabia and the UAE (including DFSAs and ESPCs). 
    • Advising major Saudi Arabian employers, procurers and authorities with the preparation and negotiation of various settlement agreements and letters in relation to various construction disputes, including negotiating the restructuring of various ongoing agreements.
