Overview

Joanne Wong is an attorney in the corporate practice of Paul Hastings and is based in the firm’s Hong Kong office. Ms. Wong has extensive experience in capital markets transactions, a focus on mergers and acquisitions in Hong Kong and in the PRC, corporate and commercial transactions, and regulatory compliance of Hong Kong listed companies. She also has specialized expertise in handling and advising various Hong Kong-listed companies on all aspects of ongoing compliance matters, including corporate governance, capital structure, ESG, public reporting and disclosure, and compliance matters of Hong Kong Listing Rules. 

Her clients include multinational and regional corporations, financial institutions, state-owned enterprises, listed companies, private companies, high-net-worth individuals and entrepreneurs across a multitude of industries, including commercial banking, real estate, property management, electronic appliances, education, food and beverage, providers of enterprise software, services designed for MSEs, etc. Prior to joining Paul Hastings, Ms. Wong worked in two leading international law firms for many years. She is fluent in English, Mandarin, and Cantonese.

  • Represented different banks incorporated in the PRC, including Zhongyuan Bank Co., Ltd.; Bank of Tianjin Co., Ltd.; Weihai City Commercial Bank Co. Ltd.; and China Bohai Bank Co., Ltd. etc. in relation to their compliance matters under the Hong Kong Listing Rules and other relevant laws and regulations in Hong Kong.
  • China Vanke Co. Ltd. on its respective HK$3.92 billion and HK$7.89 billion placing of new H shares. CLSA, CICC, UBS, and CMB International were the placing agents.
  • China International Marine Containers (Group) Co., Ltd. to its spin-off of its subsidiary, CIMC Vehicles (Group) Co., Ltd., to Main Board of the Hong Kong Stock Exchange.
  • CIMC Vehicles (Group) Co., Ltd. on its compliance with Hong Kong’s listing rules for its RMB1.76 billion IPO on the ChiNext Board of Shenzhen Stock Exchange (Stock Code: 301039.SZ). Haitong Securities Co., Ltd., China International Capital Corporation, and Ping An Securities Co., Ltd. acted as the lead underwriters.
  • Zhongyuan Bank Co., Ltd. in relation to its issue and delisting of offshore preference shares of RMB9.69 billion.
  • Zhongyuan Bank Co., Ltd. in relation to its RMB28.47 billion merger by absorption of three city commercial banks, including Bank of Luoyang, Bank of Pingdingshan, and Bank of Jiaozuo China Travel Services, together with placing its new H shares worth RMB3.105 billion.
