Lauren Giovannone is a partner in the Hospitality & Leisure practice in Paul Hastings' Real Estate department and is based in the firm's Los Angeles office. She represents real estate development companies, financial institutions, investors, and commercial lessors and tenants in all aspects of the acquisition, development and finance of hotels, condo-hotels, resorts, theme and water parks, and large mixed-use projects, including, without limitation, the negotiation of management, franchise, licensing and branding agreements, restaurant leases and management agreements, pre-opening, technical service and PIP agreements, marketing and sales agreements, subordination and non-disturbance agreements, executive compensation and consulting agreements, and celebrity chef joint venture and management agreements.

Ms. Giovannone received her B.S. in Psychology from Vanderbilt University, magna cum laude, in 2002 and her J.D. degree from Loyola Law School, cum laude, in 2005, where she was awarded the Order of the Coif, received five American Jurisprudence Awards, and was a member of the St. Thomas Moore Honor Society.

Recent Representations

  • Baha Mar Ltd. in negotiating a series of management and other related ancillary agreements with Hyatt Hotels Corporation, SBE Hotel Group and Rosewood Hotels and Resorts, each of which will operate and manage different hotel developments at Baha Mar's $3.5 billion mixed-use resort in the Bahamas.

  • Korean Airlines in the negotiation of a management agreement and related ancillary agreements with Intercontinental Hotel Group for a 900-room hotel to be located with the Wilshire Grand redevelopment, which, upon completion, will be the tallest building west of the Mississippi.

  • Oaktree CapitalManagement in connection with the disposition of various hotel assets located in Florida, California and New York.

  • Starwood Capital Group, a private equity fund, in connection with all aspects of the acquisition, management, and licensing of various hospitality assets throughout the United States.

  • Combined Properties in its re-development of the House of Blues site on the Sunset Strip in Los Angeles, into a mixed use boutique hotel and residential project.

  • TPG on the acquisition of a $500 million¬†portfolio of properties in the western United States from Prologis.

  • Caruso Affiliated in the negotiation of management and related ancillary agreements for the development of a luxury hotel development in Montecito, California.

  • Fort Capital Management in the negotiation of management and related ancillary agreements for the development of a Four Seasons luxury hotel and residential development in Miami, Florida.

  • Deutsche Bank, N.A. in the acquisition (following foreclosure) and subsequent management, and licensing of The Cosmopolitan of Las Vegas, in Las Vegas, Nevada.

  • SBE Hotel Group, LLC in the negotiation of various management, licensing, joint venture and purchase and sale agreements for a variety of hotels and resorts located in Beverly Hills, California; Hollywood, California; Miami, Florida; and Las Vegas, Nevada.

  • The Related Companies in the negotiation of management and joint venture agreements in connection with the Grand Avenue project in Los Angeles, and the Hilton Convention Hotel in West Palm Beach.
