Bain Capital Acquires Blue Coat Systems

New York— Paul Hastings LLP, a leading global law firm, announced today that the firm advised the debt financing providers in connection with the acquisition of Blue Coat Systems, Inc. and certain of its affiliates (“Blue Coat”), a leading provider of enterprise cybersecurity solutions, by Bain Capital Partners, LLC.

Paul Hastings LLP represented Jefferies Finance LLC as lead arranger and bookrunner and administrative agent in connection with a $1.15 billion senior secured term loan and a $100 million senior secured revolving facility for Blue Coat.  Paul Hastings LLP also represented Jefferies LLC and Societe Generale as initial purchasers in connection with the Rule 144A/Reg S offering of $470 million aggregate principal amount of 8.375% senior notes due 2023 by Blue Coat.  The proceeds of the senior secured credit facilities and the senior notes at closing were used primarily to finance the acquisition of Blue Coat.
