Just When You Thought You Had It All…How Secure is Your "All Asset" Lien in Bankruptcy?

Discourse abounds relative to the portion of a debtor's value that a secured creditor with an "all asset" lien is entitled to in bankruptcy. What is the scope of an "all asset" lien? Does a secured creditor's lien on "all assets" include the delta between liquidation value and enterprise value? How is "value" determined? When does "value" arise? This panel will explore how these questions have been addressed in recent decisions and in academic debate. Additionally, from the secured creditor perspective, this panel will discuss practice tips to better align secured creditor expectations with legal certainties. From the debtor side, the panel will discuss practice tips to uncover additional value for the estate.
