In addition to the historical role as a popular financing method for small- to medium-sized companies, PIPEs have begun to be used as a broader financing mechanism in situations where SEC registration hasn't been available. Indeed, General Electric recently used a PIPE structure to attract an investment from Berkshire Hathaway, and even financial sponsors have started to turn to PIPEs as an alternative method of investing. Conventional follow-on offerings have also started incorporating some aspects of PIPE execution through a rise in the use of issuer-approved "wall crossings" of investors.
