Recent Hart-Scott-Rodino Developments

Two significant recent developments under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, merit attention. In the first, the Federal Trade Commission has proposed changes to the premerger notification requirements applicable to transactions involving partnerships, limited liability companies and other unincorporated entities. In the second, the Antitrust Division of the Department of Justice has filed two civil penalty actions for violations of the HSR Act alleging failures to report acquisitions of voting securities based on erroneous claims under the “investment-only” exemption.
