Paul Hastings advises funds managed by Apollo on the sale of listed shares in AGROB Immobilien AG to RFR InvestCo 1 S.à r.l.
Frankfurt – Paul Hastings advised Ersa V S.à r.l. and Ersa IV S.à r.l., funds managed by Apollo, in connection with the sale of 81.87% of the ordinary shares and 24.67% of the preferred shares in AGROB Immobilien AG, a listed company focusing on the development and management of AGROB Media and Business Park in Ismaning, Germany, to RFR InvestCo 1 S.à r.l..
RFR has announced that it will launch a voluntary public takeover offer under the German Securities Acquisition and Takeover Act in the form of a cash offer to the shareholders of AGROB to acquire all ordinary and preferred shares in AGROB not already held by the bidder.
